Terms of Service

Transparency and integrity are the bedrock of our business. Please review the terms governing our wholesale partnership.

Effective Date: January 1, 2020

These Terms of Service ("Terms") constitute a legally binding agreement between StoneMemo ("Seller", "we", "us") and the purchasing entity ("Buyer", "you"). By placing a wholesale order, approving a CAD drawing, or submitting a deposit, you acknowledge and agree to be bound by these Terms.

1. General Provisions

StoneMemo specializes in B2B wholesale manufacturing of granite monuments, memorials, and columbariums. We do not sell directly to the general public (B2C) to protect our partners' retail margins.

  • Business Verification: We reserve the right to request business licenses or tax ID numbers to verify wholesale status.
  • Entire Agreement: These Terms supersede all prior agreements, understandings, or representations, whether oral or written.
  • Modifications: We may update these terms periodically. Orders placed before an update will be governed by the terms in effect at the time of the deposit.

2. Orders & CAD Approval

2.1 Order Confirmation

An order is considered "Pending" until a Proforma Invoice (PI) is signed by the Buyer and the required deposit is received.

2.2 CAD Drawings & Clay Models

For custom monuments and statues, StoneMemo provides professional CAD drawings or clay model photos for approval.

Critical Responsibility: Buyer is solely responsible for verifying all spelling, dates, dimensions, and design details on the CAD proof. Once the CAD is signed/approved by the Buyer, StoneMemo is not liable for errors present in the approved design.

  • Changes: Design changes requested after stone cutting has commenced may incur additional material and labor costs.
  • Clay Models: For custom statuary, we require approval of the clay mold before carving the granite.

3. Pricing & Payment

All prices are quoted in US Dollars (USD) unless otherwise stated.

Standard Payment Terms

30% T/T Deposit to initiate production.
70% Balance paid against the Copy of Bill of Lading (B/L).

Custom/Special Orders

50% Deposit required for high-value custom statues or non-stock material orders.

Late Payments: Balances not paid within 14 days of B/L issuance may incur storage fees at the port of destination. Ownership of goods remains with StoneMemo until full payment is received.

4. Production & Quality Standards

4.1 The "No-Dye" Guarantee

We strictly prohibit the use of dyes, paint, or chemical darkening agents on our granite (unless specifically requested for contrast on lettering). We guarantee our Shanxi Black and other premium granites are 100% natural color. If fading due to dyeing occurs, we offer a 200% refund on the material value.

4.2 Tolerances

  • Dimensions: +/- 2mm (approx 1/16") for standard monuments. +/- 1mm for columbarium joinery.
  • Thickness: Industry standard allowance of +/- 3mm.
  • Natural Variations: Granite is a natural product. Minor veining, pitting, or color variations that do not affect structural integrity are not considered defects.

5. Shipping & Logistics

We offer flexible shipping terms based on Incoterms® 2020:

  • FOB (Free On Board) Xiamen: Buyer arranges ocean freight. Our responsibility ends when goods cross the ship's rail.
  • DDP (Delivered Duty Paid): We handle ocean freight, customs clearance, duties, and trucking to your door. Buyer is responsible for unloading (forklift required).

*Lead times provided are estimates. StoneMemo is not liable for delays caused by "Force Majeure" events (e.g., strikes, hurricanes, pandemics, war, or customs inspections).

6. Inspection & Claims

We take immense pride in our packaging (custom timber crates with foam). However, accidents can happen.

Claim Procedure

  1. Inspection Window: Buyer must inspect goods within 7 days of container devanning/delivery.
  2. Evidence: Claims for breakage or defects must be supported by high-resolution photos of the product and the crate packaging.
  3. Resolution: Valid claims will be resolved via:
    • Replacement in the next container order (fastest).
    • Refund/Credit for the value of the damaged piece.
    • Reimbursement for local repair costs (if repairable and agreed upon in writing).

Note: We do not cover installation costs, funeral delays, or emotional distress damages.

7. Governing Law

Any disputes arising from these Terms shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the arbitration commission in Fujian, China, or a mutually agreed jurisdiction.
